CONSTITUTION
- This Association hereinafter known as 'The Remembrance Line Association' (The Association) comprises a not-for-profit organisation managed by its Members and financed by their subscriptions and such moneys as may be otherwise received.
- The essential purpose of The Association is to preserve, maintain and operate the Folkestone Harbour Railway and its entire infrastructure including buildings, structures and permanent way. For the removal of doubt all essential elements comprising the infrastructure are identified under Para.2 of the Aims and Objectives set out below.
- The Membership will be registered and entitled to vote on matters affecting the general running of The Association on payment of a Membership Fee agreed by a simple majority of the Members. In addition to the above voting qualification, all motions concerning the Constitution, Aims and Objects and Winding Up of The Association will require a two thirds majority of paid up Members in good standing with the Association to carry. This qualification of Membership will apply to all rights which members may wish or be asked to exercise as set out in this Constitution.
- In the event that The Association is Wound Up its assets will be transferred in part or in whole to one or more voluntary organisation having aims compatible with those of The Association, provided that such action is supported by two thirds of the Members.
- The Association will appoint a Management Committee comprising a Chairman, Vice Chairman, Secretary and Treasurer, plus three members to cover specific portfolios. Additional members will be appointed to the Management Committee as necessary. Any member authorised by the Management Committee to carry out any work will be entitled to claim reimbursement for direct out of pocket expenses properly incurred.
- The Management Committee will ordinarily meet twice each month and the full Membership once during the same period unless otherwise deemed necessary by the Management Committee.
- Any Member may call an Extraordinary General Meeting (EGM) provided that their reason for doing so is fully explained in a letter to the Management Committee and supported by not less than three other Members. An EGM will be held not more than one calendar month from the date on which the request is considered by the Management Committee.
- Minutes of all meetings of the Management Committee and plenary sessions of the Membership will be recorded and available at all reasonable times for Members to read.
- At Ordinary Meetings of the Membership the Management Committee will report on all matters of substance concerning The Association's affairs and programme, and a copy of the Minutes of any preceding Ordinary Meeting will be signed by the Chairman or Vice Chairman upon acceptance and in the presence of those paid up Members present.
- Subscriptions will become payable during the month prior to the Annual General Meeting (AGM) in each year and entitlement to attend any and all meetings and participate in events promoted by the Association and vote on any issue concerning The Association shall reply upon such payment having been made by the date of the meeting or event. Members will be expected to register their attendance at all meetings and Non Members will be permitted to attend Ordinary Meetings only upon the invitation of and when sponsored by a paid up Member.
- The Association's Accounting Year shall run from 30th April, and its accounts will be prepared for presentation to the Members not later than the third Ordinary Meeting held thereafter.
- The Association will open a Banking Account in its name upon provision of a letter signed by the Chairman or Vice-Chairman to a Bank or Building Society to be approved by the Members.
- Withdrawals from such an account will be validated by the combined signatures of the Chairman or Vice Chairman and the Treasurer.
- In the event that receipts and payments are made by way of Petty Cash a full and permanent record will be kept by the Treasurer for scrutiny and signature of approval by the Chairman or Vice Chairman at each subsequent Management Committee meeting.
- Membership subscriptions are for the time being determined as £10 pa for adults, £5 for Members over 60 years and under 16 years and, £1 for those under 10 years of age.
- In the event that it is necessary to form a limited company through which to conduct the affairs of the Association, the terms of the Constitution as set out above and the Aims and Objects as set out below will apply, and the Board of Directors appointed to provide the Executive Management Board of such a company will, ab initio, be deemed to be the same as those of the Management Committee of the Association.
AIMS and OBJECTS
- The Association will make every effort to restore, regenerate and maintain the Historic Buildings and Transport Infrastructure of the Folkestone Harbour Railway and its environs including the Railway Pier, the South Quay, the Lighthouse and buildings including the Bullion Shed, the East Head and the State, and all elements of Folkestone Town's historic built and natural environment having an association with the services and facilities used by the British Armed Forces during World War One and World War Two.
- The Association will work to conserve, refurbish, regenerate and reinstate the working railway (The Remembrance Line) between Folkestone East Junction and Folkestone Harbour Quay, including the Permanent Way and all relevant and necessary ancillary equipment, the Station Master's House, the Swing Bridge, the Viaduct and the Signal Box with the intention of linking the service with Ferry Services and the main UK Rail System to provide direct access by train.
- The Association will promote and develop The Remembrance Line as an Operational Service and Tourist Attraction and work with existing rail operators, like-minded groups and organisations with interests in the Folkestone area and the South East and South of England generally to gain and reciprocate their support in the attainment of these objectives.
- To prepare, promote and run a Public Event centred upon The Remembrance Line commemorating the 90th anniversary of the end of the First World War and similar events on and around Remembrance Day each year henceforth in addition to such social and historic events and activities as may assist with the promotion of the Association's work and the well being of its Members.
- To bring the work of the Association to the attention of education establishments in the South East and South of England to promote its work and encourage and engage the interest and participation of people of all ages, but especially children, in the activities and working of the Association, with particular reference to the social and environmental benefits of rail travel.
